給外籍員工用的兼職協(xié)議書

　　甲方因工作需要，需聘用乙方。根據(jù)雙方協(xié)商，特簽訂本協(xié)議，以便共同遵守執(zhí)行。

　　第一條 用人單位基本情況：base on the needs of first party, hire second party. in accordance with negotiation of two parties, hereby draw up this compact with the terms and conditions as follows

　　第三條 本協(xié)議自______年______月______日起至______年______月______日止。this compact apply during the period commencing on the date of ______ and ending

　　on the date of -9-30.

　　第四條 根據(jù)甲方工作需要及任職要求，乙方同意以兼職形式為甲方提供如下服務(wù)：

　　base on the needs and requirement of first party, second party provide part-time  service as follows:

　　1，與甲方指定客戶進(jìn)行約見和面談，依甲方要求、協(xié)助甲方處理相關(guān)事宜;meet appointed costumers, according to the requirement from first party, provide correlative assistance.

　　2，根據(jù)甲方要求協(xié)助甲方處理緊急事件;base on the needs of first party, provide assistance on emergency.

　　3，作為培訓(xùn)講師，為甲方培訓(xùn)提供培訓(xùn)支持工作。as trainer, provide assistance on training.

　　第五條 甲方每月 8 日(公歷，遇節(jié)假日順延)支付乙方上月服務(wù)報(bào)酬,乙方服務(wù)報(bào)酬(稅前)

　　為：人民幣1000_元/次*天;大寫：人民幣1000元/次*天。如服務(wù)時(shí)間不足半天服務(wù)費(fèi)用以125元/小時(shí)計(jì)算。by the 8th day of each month(the gregorian calendar, postpone in the case of holidays )

　　第六條 甲方制定的勞動(dòng)紀(jì)律和規(guī)章制度應(yīng)當(dāng)符合法律、法規(guī)的規(guī)定，并向乙方公示，乙方應(yīng)當(dāng)在

　　確認(rèn)后遵照?qǐng)?zhí)行。labor disciplines and regulations which made by first party should fulfill the legal and regulatory requirement, and public notice second party who should act on this compact after confirming.

　　第七條 甲方有權(quán)根據(jù)規(guī)章制度對(duì)乙方進(jìn)行獎(jiǎng)懲，當(dāng)乙方嚴(yán)重違反甲方的規(guī)章制度時(shí)，甲方有權(quán)解

　　除本協(xié)議并不給予乙方任何經(jīng)濟(jì)補(bǔ)償。first party has the right to reward or punish second party according to regulations, if second party committed a serious breach of regulations, first party has the right to make dissolution of compact without economic compensation to second party.

　　第八條 由于雙方的勞動(dòng)聘用關(guān)系，乙方將有機(jī)會(huì)了解并使用甲方的有關(guān)商業(yè)秘密(包括但不限于經(jīng)營策略、軟件系統(tǒng)、薪酬系統(tǒng)、營銷渠道、員工或客戶資料、供應(yīng)商、價(jià)格系統(tǒng)、知識(shí)產(chǎn)權(quán)等所有資料及文件)，乙方有在協(xié)議期內(nèi)及協(xié)議解除后保守甲方商業(yè)秘密不對(duì)外泄露的義務(wù)，也不能用于為自己謀取利益的經(jīng)營活動(dòng)中。乙方不得將涉及甲方商業(yè)秘密的實(shí)物、文字材料、電子文檔等以竊取、摘抄、復(fù)制、傳真、拍照、電子郵件等方式占有、傳播、出售、使用或允許他人使用甲方的商業(yè)秘密。本條款所規(guī)定行為，乙方如有違反，應(yīng)向甲

　　方支付違約金人民幣壹拾萬元。because of the employer-employee relationship, second party would know and use the trade secret from first party(include but not limited to marketing tactics、software system、salary system、marketing channel、material of employee and client、supplier、price system、intellectual property rights and all sort of materials and documents),second party is in duty bound to not disclose the trade secret of first party, nor take advantage of company’s trust to seek profit for one’s own. second party must not occupy、spread、sale、use、or let other people use the article、written materials、electronic document by stealing、extracting、copying、faxing、photographing、emailing and other methods. all the actions under this clause, if second party committed the breach, should pay penal sum of 100,000rmb.

　　第九條 乙方有下列情形之一的，甲方可以解除本協(xié)議，但是應(yīng)當(dāng)提前十日以書面形式通知乙方：

　　first party could carry out rescission of compact in any of the following circumstances, however, should notice second party by written form 10 days early.

　�、� 患病或者非因工負(fù)傷，醫(yī)療期滿后，不能從事原工作也不能從事由甲方另行安排的工作的;

　　in the case of fall ill or wound in line of duty, when the medical treatment expires, if not be able to participate former work or other appointed work from first party;

　　⑵ 不能勝任工作，經(jīng)過培訓(xùn)或調(diào)崗，仍不能勝任工作的;

　　incompetent, after training or transfer-position, still incompetent;

　�、� 本協(xié)議訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化，致使協(xié)議無法履行，經(jīng)甲乙雙方協(xié)商不能就變更協(xié)議內(nèi)容達(dá)成一致的;due to objective reasons, unable to fulfill compact,moreover, can not reach to an agreement with variation on contract.

　�、� 法律、行政法規(guī)規(guī)定可以解除協(xié)議的。

　　rescission of compact is in accord with law and administrative regulation.

　　第十條 乙方有下列情形之一的，甲方可以單方面隨時(shí)解除協(xié)議，并對(duì)乙方不作任何經(jīng)濟(jì)補(bǔ)償;

　　乙方因下列行為給公司造成損害的，甲方有權(quán)要求乙方賠償損失：first party could carry out rescission of compact in the following circumstances at any time, without

　　making any compensation; first party has the right to let the second party compensate for loss in any of the following circumstances.

　�、� 在應(yīng)聘過程中提供的個(gè)人證件、體檢、簡歷等個(gè)人資料有欺詐行為的;

　　if there were fraud acts on personal papers、medical certificates、resume;⑵ 按公司獎(jiǎng)懲的有關(guān)規(guī)定，嚴(yán)重失職，工作不負(fù)責(zé)任，玩忽職守、消極懈怠給公司利益造成損害的;

　　in accordance with correlative provision of reward/punish, gross neglect of duty,irresponsible, listless during work, result loss to profit of company.

　　⑶ 乙方盜竊公司、員工或客戶財(cái)物的;報(bào)銷費(fèi)用時(shí)有虛報(bào)或假報(bào)金額等行為的;

　　second party steal property from company or employees; deception during the process of applying for reimbursement.

　�、� 泄露公司商業(yè)秘密;利用職務(wù)以權(quán)謀私、損公肥私的;breach of confidence; take advantage of duty to seek person profit.

　�、� 欺詐客戶、公司，謀取私利的，私下從事同業(yè)工作的;sting client、company to seek personal profit, participate same type of work in secret

　�、� 結(jié)黨營私、破壞員工關(guān)系，生活作風(fēng)不端正的;form cliques, wreck relationships between employees, bad lifestyle(immoral love).

　�、� 違法行為或不良社會(huì)行為而給甲方形象造成巨大傷害的;unlawful act or bad behavior which diminish the reputation of talent.

　�、� 有賭博、吸毒等不良行為的;gamble、drug taking or other bad behavior

　�、� 被依法追究刑事責(zé)任或違法被處罰的;being undertaken for criminal responsibility or punished for breaking the law.

　�、� 嚴(yán)重違反公司的勞動(dòng)紀(jì)律、規(guī)章制度的;法律規(guī)定或雙方約定的其它情形。

　　committing a serious breach of discipline、regulation or other agreement between two parties.

　　第十一條 乙方解除協(xié)議，應(yīng)當(dāng)提前三十日以書面形式通知甲方。second party make early rescission of compact，should provide 30 days prior notice to first party.

　　第十二條 甲乙雙方約定無論何種情形解除協(xié)議，乙方都對(duì)工作交接負(fù)有責(zé)任，須按甲方規(guī)定的程序進(jìn)行工作交接。乙方不按甲方的規(guī)定交接工作的，甲方有權(quán)扣發(fā)乙方服務(wù)費(fèi);乙方不按規(guī)定交接工作致使甲方遭受損失時(shí)，甲方將依法向乙方索賠。no matter what type the rescission of compact is, second party does have the obligation of carrying out the handover of his work, and fulfill it according to the appointed process from first party. if the second party failed to do so, the first party has the right to deduct wages of second party; first party would ask second party for compensation if the non-fulfillment of second party led to economic losses of first party.

　　第十三條 特別約定：special compact

　�、� 由于乙方為兼職人員，故甲方不需為乙方繳納社會(huì)保險(xiǎn)。second party is part-time job, no need to pay social insurance for.

　　⑵ 乙方因病或非因工負(fù)傷醫(yī)療費(fèi)用自行解決，醫(yī)療期內(nèi)甲方不支付報(bào)酬。second party get sick or get wounded not in the line of duty, second party should pay himself.

　�、� 雙方解除、終止本協(xié)議，甲方無需支付乙方任何經(jīng)濟(jì)補(bǔ)償。if compact was determined by two parties, first party does not have to pay second party compensation.

　　⑶ 其他：甲方如需乙方提供服務(wù)，需提前1天書面通知乙方.other: first party needs to contact second party 1 day early when needs the latter.

　　第十四條 協(xié)議約定內(nèi)容與國家有關(guān)法律、法規(guī)、政策不一致的，依照國家規(guī)定執(zhí)行。因本協(xié)議引的任何爭議，均提請(qǐng)甲方所在地法院處理。any section in this compact which does not accord with the law, legislation, policy of the government, carry out by the provision of the government. any disputation cause by this compact, first party would entrust local court to settle.

　　第十五條 本協(xié)議一式兩份，甲乙雙方各執(zhí)一份。this compact has made in duplicate, one for each party.
